Welcome to Musical Bead! This User Agreement (“Agreement”) is a legally binding contract between you (“User”) and Musical Bead, governing your use of the Musical Bead mobile application (“App”). By downloading, installing, or using the App, you agree to abide by the terms of this Agreement. If you do not agree to these terms, you must discontinue use of the App immediately.

1. Description of the App

Musical Bead is a mobile application that enables Users to save photos, videos, and voice recordings to their smart NFC card and virtual account. The App is available for free download and provides Users with up to 100 MB of free data storage.

2. Subscription Model (with Streaming Limits)

For Users requiring more than 100 MB of data storage, Musical Bead offers a subscription model with the following tiers:

Additional Streaming Costs

• Users exceeding their streaming limits will be charged $5 per additional 10GB of streaming.
• Streaming usage is tracked in real-time, and notifications are sent when users approach their limit.
• Streaming overages are billed automatically unless the user disables auto-renewal in their account settings.

Payment and Renewal Terms

• Payments will be charged to the preferred payment method associated with the User’s app store account at the time of purchase.
• Subscriptions renew automatically each year at the prevailing rate unless canceled at least 24 hours before the end of the current subscription period.
• Subscription management, including cancellation, is handled through the User’s app store account settings.
• No refunds will be provided for unused portions of the subscription period.

3. NFC Tag Requirement

All NFC tags used with the Musical Bead App must be purchased exclusively from Musical Bead. Any counterfeit NFC tags not purchased from our system may be removed at our discretion. Musical Bead reserves the right to disable access to any unauthorized NFC tags.

4. User Conduct

Users agree to use the App in compliance with all applicable laws and regulations. Prohibited activities include but are not limited to:

• Uploading, sharing, or distributing harmful, illegal, or infringing content.
• Engaging in activities that disrupt or attempt to disrupt the functionality or security of the App.
• Violating the intellectual property rights, privacy rights, or other legal rights of third parties.

5. Privacy Policy

User data is collected, stored, and processed in accordance with our Privacy Policy, accessible at https://musicalbead.com/privacy-policy. By using the App, Users consent to the collection and use of their information as outlined in the Privacy Policy.

6. Royalty Disclaimer

6.1 Ownership and Licensing

Users, including musicians and music labels, retain ownership and control over the content uploaded or linked to the NFC Musical Cards. By using our services, you confirm that you own or have legally licensed the rights to distribute, share, and display any content linked to or accessible through the NFC Musical Card and MB App.

6.2 Royalty Obligations

All royalty and licensing obligations related to the music and other media content are the sole responsibility of the User. Musical Bead does not monitor or manage royalties, licensing fees, or any related payments. You agree to comply with all applicable laws, regulations, and contractual obligations regarding royalty payments.

6.3 Liability for Unauthorized Content

By using the MB App and NFC Musical Cards, you agree not to upload or distribute any content that infringes the intellectual property rights of others. Users are solely responsible for ensuring the legality of their content. If notified of a copyright violation, you agree to immediately remove the infringing content from our platform.

6.4 Platform Provider Only

Musical Bead is a tool provider and not the publisher or owner of the content uploaded, linked, or shared through the NFC Musical Cards and MB App. Our responsibility is limited to providing the platform for content distribution, and we do not assume responsibility for the content itself.

6.5 Liability Disclaimer

To the fullest extent permitted by law, Musical Bead disclaims any liability for any copyright infringement, royalty obligations, or unauthorized sharing of content by Users. You agree to indemnify and hold harmless Musical Bead and its employees, directors, and affiliates from any claims, damages, losses, or expenses arising from your use of our products and services.

7. Termination of Access

Musical Bead reserves the right to suspend or terminate access to the MB App and NFC Musical Cards for any User who violates this Agreement, infringes upon the rights of others, or misuses our platform.

8. Dispute Resolution

Any disputes arising out of this Agreement shall be resolved through binding arbitration in [Your Jurisdiction]. Each party shall bear its own costs in arbitration, and the arbitration will be conducted in English.

9. Changes to Agreement

Musical Bead may update this Agreement from time to time. Continued use of our products and services after such changes constitutes acceptance of the new terms.
